CHAPTER I
DISPOSICIONES GENERALES
GENERAL PROVISIONS
Artículo
1. Denominación y naturaleza.
Article 1.
Name and nature of association.
Con la denominación
de ASOCIACIÓN DE VECINOS EXTRANJEROS DE ALBOX (AVEA), se constituye en el
municipio de Albox en la provincia de Almería, el día ____ de _______________,
de 2017, una organización de naturaleza asociativa y sin ánimo de lucro, al
amparo de lo dispuesto en el artículo 22 de la Constitución Española, en la Ley
Orgánica 1/2002, de 22 de marzo, reguladora del Derecho de Asociación y demás
disposiciones vigentes dictadas en desarrollo y aplicación de aquélla, en la
Ley 4/2006, de 23 de junio, de Asociaciones de Andalucía, así como en las
disposiciones normativas concordantes.
El régimen de la Asociación se determinará por
lo dispuesto en los presentes Estatutos.
Named
ASOCIACIÓN DE VECINOS EXTRANJEROS DE ALBOX (AVEA), (Albox Foreign Residents
Association), constituted in the municipality of Albox in the province of
Almeria, on ____ of _______, of 2017, of an associative and non-profit nature, protected
under article 22 of the Spanish Constitution, in Ley Organica 1/2002, of 22nd
March, regulating the Right of Association and other current provisions in
development thereof, in Ley 4/2006, de 23rd June, of Associations in
Andalusia, as well as the corresponding regulatory provisions.
The
regimen of the Association shall be determined by these statutes.
Artículo
2. Personalidad y capacidad.

capacity
La Asociación constituida
tiene personalidad jurídica propia y plena capacidad de obrar, pudiendo
realizar, en consecuencia, todos aquellos actos que sean necesarios para el
cumplimiento de la finalidad para la que ha sido creada, con sujeción a lo
establecido en el ordenamiento jurídico.
The constituted Association has
its own legal character and full capacity to act, being able to carry out, in
consequence, all those actions that are necessary to achieve the objectives for
which it was created, subject to the provisions of the legal system.

3. Nacionalidad y domicilio.

La
Asociación que se crea tiene nacionalidad española.

Association created has Spanish nationality.

cambio de domicilio requerirá acuerdo de la Asamblea General, convocada
específicamente con tal objeto, y la modificación de los presentes Estatutos.
The change of address requires the agreement of the General Assembly,
convoked specifically for this reason, and the modification of these Statues.
El acuerdo de la Asamblea General deberá ser
comunicado al Registro de Asociaciones en el plazo de un mes, y sólo producirá
efectos, tanto para los asociados como para los terceros, desde que se produzca
la inscripción.
The agreement of the General Assembly must be communicated to the
Register of Associations within one month, and only takes affect for members
and for third parties when it is inscribed in the Register.

El ámbito territorial en el que la
asociación va a desarrollar principalmente sus actividades es local.

association will principally roll out its activities at a local level.

OBJETO
DE LA ASOCIACIÓN
PURPOSE OF THE
ASSOCIATION
Artículo

Fines.
Article 6. Objectives
Los fines de la Asociación serán los siguientes:
The objectives of the
Association are the following:
a) La defensa de los
intereses de los vecinos asociados atendiendo a sus necesidades sociales
respecto a problemas urbanísticos, mejora de la población, conservación del
paisaje y de la naturaleza y de saneamiento en lo que se refiere a la mejora de
las condiciones higiénicas de la población, comprendida dentro del ámbito de
actuación de esta Asociación, The defence of the
interests of the residents who are members of the association, attending to
their social needs with regard to urban problems, the betterment of the quality
of life of residents, conservation of nature and the landscape and sanitation,
in terms of that which improves the hygienic conditions of residents, is that
which comes within the scope of the Association,
b)
Colaboración en la
prestación de servicios municipales: abastecimiento de aguas, zonas
ajardinadas, limpieza de vías públicas, servicio contra incendios, festejos y
actos culturales. Cooperation with the provision of municipal services:
water supply, garden areas, road cleaning, fire prevention services, festivals
and cultural events.
c)
Promover en su caso
dentro de la legalidad vigente, las acciones eficaces para garantizar los
intereses de los asociados y solución de problemas colectivos. Promote, as required and within the law,
effective actions to guarantee the interests of the members and solve
collective problems.
d)
Canalizar y exponer
las opiniones y criterios de los vecinos asociados. Channel
and present the views and opinions of residents who are members of the
association.
e) Promover la integración social y la participación
en la vida cívica. Promote social integration and participation in civic
life.
f)
La información,
formación y asesoramiento de los vecinos asociados en las materias antes
enumeradas. Inform, guide and advise members regarding the
subjects previously mentioned.
Y para su
consecución se desarrollarán las siguientes actividades:
And for
the achievement of these aims the following activities will be undertaken.
a)
Creación de
cooperativas de todas clases, estudio de problemas urbanísticos y demás
aspectos de índole social. Creation of cooperatives of all kinds,
the study of urban problems and other matters of social concern.
b)
Participación en los organismos de consulta o
gestión de la Administración. - Todas aquellas actividades que se adecuen a los
fines propuestos. Participation in the consulting or management bodies
of the Administration – All those activities that help meet the proposed
objectives.
c)
Actividades para la
promoción cultural de los vecinos centrada en particular en as temas de
integración: conferencias, charlas culturales, lectura comentada de libros o
artículos de prensa, proyección de películas, documentales y diapositivas,
audiciones musicales, representaciones teatrales, excursiones y todas cuantas
similares se puedan desarrollar. Activities for the cultural development
of residents cantered particularly on integration: conferences, cultural talks,
lectures relating to books or press articles, projection of films,
documentaries and slides, musical events, theatrical events, excursions and all
similar activities may take place.

ASAMBLEA GENERAL
GENERAL ASSEMBLY
Artículo
7. Asamblea General.
Article 7. General Assembly
El órgano supremo de gobierno de la
Asociación es la Asamblea General, integrada por todos los socios, que
adoptarán sus acuerdos por el principio mayoritario o de democracia interna.
Todos
los miembros quedaran sujetos a los acuerdos de la Asamblea General, incluso
los ausentes, los disidentes y los que aun estando presentes se hayan abstenido
de votar.
Las
Asambleas podrán tener carácter ordinario y extraordinario, en la forma y
competencias que se indican en los presentes Estatutos.
The
supreme governing body of the Association is the General Assembly, formed of
all members, who adopt their agreements by majority or via internal democracy.
All
members are subject to the agreements of the General Assembly, including those
absent, in disagreement or those who were present but abstained from the vote.
The
Assemblies can be of an ordinary or extraordinary nature in the manner and with
the competencies indicated in these Statutes.

8.
Convocatoria.
Article 8. Convening an Assembly
La
Asamblea General deberá ser convocada al menos en sesión ordinaria una vez al
año, dentro de los seis meses siguientes al cierre del ejercicio; y en sesión
extraordinaria, cuando las circunstancias lo aconsejen, a juicio del
Presidente, cuando la Directiva lo acuerde o cuando lo proponga por escrito una
décima parte de los asociados.
An
ordinary session of the General Assembly must be convened at least once a year,
within six months prior to the association’s year end; and an extraordinary
session, when circumstances dictate, may be convened by the President or when
the Committee agrees to do so or when such a meeting is requested by one tenth
of the members.
Artículo 9. Forma de la
convocatoria.
Article 9. The form for convening an Assembly
Las convocatorias de las Asambleas se realizarán
por escrito. No obstante, en todo caso será suficiente la convocatoria de las
Asambleas efectuada por correo electrónico o mediante anuncio en la página web
de la Asociación o por anuncios colocados en los lugares de costumbre. La
convocatoria expresara el lugar, día y hora de la reunión así como el orden del
día con expresión concreta de los asuntos a tratar.
Assemblies
are convened in writing. However, it is deemed to be sufficient to do this via
email or via an announcement on the web page of the association, or via
announcements placed in customary places. The convocation shall state the
location, date and time of the meeting as well as the agenda with a clear
explanation of the issues to be dealt with.
Artículo
10.
Asamblea General ordinaria.
Article 10. Ordinary General Assembly
La Asamblea General ordinaria se
celebrará al objeto de tratar los siguientes puntos del orden del día:
1.- Lectura y aprobación, si
procede, del acta de la sesión anterior (sea Asamblea general ordinaria o
extraordinaria).
2.- Examen y aprobación, si procede,
de las cuentas del ejercicio anterior.
3.- Examen y aprobación, si procede,
de los Presupuestos del ejercicio.
4.- Examen de la memoria de
actividades y aprobación, si procede, de la gestión de la Junta Directiva.
5.- Aprobación, si
procede, del Programa de actividades.
The Ordinary General assembly
shall be celebrated with the objective of dealing with the following points on
the agenda;
1. Reading and approval, if applicable, of
the minutes of the previous session (be that a general or extraordinary
Assembly)
2. Examination and approval, if applicable
of the Accounts.
3. Examination of the record of activities
and approval, if applicable, of the management of the Committee.
4. Approval, if applicable, of the
Programme of Activities.
Artículo
11.
Asamblea General extraordinaria.
Article 11. Extraordinary General Assembly
Para la adopción de cualquier
acuerdo diferente de los citados en el artículo anterior se requerirá la
convocatoria de Asamblea General Extraordinaria y, en concreto, para tratar de
los siguientes:
1.- Modificación de los estatutos.
2.- Disolución de la Asociación.
3.- Nombramiento de
la Junta Directiva.
4.- Disposición y enajenación de
bienes.
5.- Constitución de una Federación, Confederación o Unión de
Asociaciones o su integración en ella
si ya existiere.
6.- Aprobación del cambio de
domicilio, que entrañará la modificación de los estatutos.
For the
adoption of any agreement different to those stated in the previous article it
is necessary to convene an Extraordinary General Assembly and to specifically
deal with the following.
1. Modification
of the statutes.
2. Dissolution
of the Association
3. Naming of
members of the Committee
4. Disposal
and disinvestment of assets.
5. Constitution
of a Federation, Confederation or Union of Associations or integration into one
that already exists.
6. Approval
of a change of address which requires the modification of the statutes.
Artículo 12. Constitución.
Article 12. Constitution
La Asamblea General, tanto ordinaria como
extraordinaria, quedará válidamente constituida en primera convocatoria, cuando
concurran, presentes o representados, al menos un tercio de los asociados; en
segunda convocatoria, cualquiera que sea el número de asistentes asociados.
Para el cómputo de socios o número de votos
total, las representaciones o delegaciones efectuadas por los socios se
presentarán a la persona titular de la Secretaría al inicio de la sesión.
Las personas que van a ejercer la Presidencia y
la Secretaría de la Asamblea serán designadas al inicio de la reunión.
The
General Assembly, be it ordinary or extraordinary, shall be validly constituted
on the first convocation, when there are gathered, in person, or represented,
at least a third of the members and on the second convocation, whatever is the
number of members present or represented.
For the
computation of the number of members or number of total votes, those holding
proxy votes on behalf of other members shall present them to the Association
Secretary at the start of the session.
The
persons who are going to act as President and Secretary of the Assembly are
designated at the start of the session.
Artículo 13. Adopción de acuerdos.
Article 13. Adopting agreements
Todos los asuntos se debatirán y
votarán conforme figuren en el orden del día. La persona que ejerza la Presidencia iniciará el debate,
abriendo un primer turno de intervenciones en el que se hará uso de la palabra previa
su autorización; asimismo, moderará los debates, pudiendo abrir un segundo
turno de intervenciones o conceder la palabra por alusiones.
All matters
will be discussed and voted upon as they appear in the agenda. The person who
exercises the position of President shall initiate the debate, opening a first
round of interventions where permission will be granted to speak; in addition,
the president will moderate the debates, and is able to open a second round of
interventions or permit statements.
Los acuerdos de la
Asamblea General se adoptarán por mayoría
simple de las personas presentes o representadas, cuando los votos afirmativos
superen a los negativos.
The
agreements of the General Assembly shall be adopted by simple majority of the
people present or represented, when the ‘for’ votes exceed the ‘against’ votes.
Abstentions or spoiled votes are not counted for a simple majority.
No obstante,
requerirán mayoría cualificada, que resultará cuando los votos afirmativos
superen la mitad de los emitidos por las personas asociadas presentes o
representadas, los acuerdos relativos a disolución de la asociación,
modificación de los Estatutos, disposición o enajenación de bienes y
remuneración de los miembros de la Junta Directiva.
However, a
qualified majority is required, which results when the positive votes exceed
half of those cast by the members present or represented, for agreements
relating to the dissolution of the association, modification of the Statutes,
disposal or disinvestment of assets and remuneration for the members of the
Committee.
Los acuerdos de la
Asamblea General que afecten a la denominación de la Asociación, domicilio,
fines y actividades estatutarias, ámbito de actuación y otras modificaciones
estatutarias, así como los relativos a la designación de los miembros de la
Junta Directiva, apertura y cierre de delegaciones, constitución de
federaciones, confederaciones y uniones, disolución, se comunicarán al Registro
de Asociaciones para su inscripción, en el plazo de un mes desde que se
produzca el acuerdo.
The agreements of the General Assembly that affect the name of the
Association, its address, objectives and statutory activities, scope of action
and other statutory modifications, as well as that related to the designation
of the members of the Committee, start and conclusion of delegations,
constitution of federations, confederations and unions, dissolution, shall be
communicated to the Register of Associations for inscription, within one month
of the adoption of the agreement.
Artículo
14. Delegaciones de voto o representaciones.
Article
14. Delegation of vote or representations (Proxy Votes).
La representación o
delegación de voto sólo será válida para la sesión o convocatoria por la que se
expida, siendo nula cualquier delegación o representación indefinida.
The
representation or delegation of a vote is only valid for the session or
convocation for which it is issued. Indefinite delegation or representation is
not permitted.
La representación o
delegación de voto constará por escrito, con indicación de los datos
personales, número de asociado de la persona delegante y representada y firmado
y rubricado por ambas.
The
representation or delegation of a vote is communicated in writing, with the
personal details and membership number of the person delegating and the person
representing them and signed and initialled by both parties.

CHAPTER
IV
ÓRGANO
DE REPRESENTACIÓN
REPRESENTATIVE BODY
Artículo 15. Definición y
mandato.
Article 15. Definition and mandate.
La Junta Directiva es el órgano
colegiado que gestiona, administra y
representa los intereses de la asociación, sin perjuicio de las potestades de
la Asamblea General como órgano soberano.
The
Committee is the body that manages, administers and represents the interests of
the association, without prejudice to the powers of the General Assembly as the
supreme body.
Los
cargos de la Junta Directiva tendrán una duración de tres años, pudiendo ser
reelegidos sus miembros al finalizar su mandato si no concurriesen otras
candidaturas a la elección de renovación de cargos. La Asamblea General para el
nombramiento o renovación de la Junta
Directiva deberá convocarse con anterioridad a la finalización del mandato
establecido.
The positions
on the Committee have duration of three years, allowing members to be
re-elected at the end of their mandate if there are no other candidates for the
post when re-election is due. The General Assembly must convoke an election for
the naming or renovation of the Committee prior to the end of the established
mandate.
Los miembros de la Junta Directiva que hubieran
agotado el plazo para el cual fueron elegidos continuarán ostentando sus
cargos, en funciones, hasta el momento en que se produzca la aceptación de las
personas que les sustituyan.
The members of the Committee whose mandate has expired
shall continue to exercise their role, as acting member of the committee, until
such time as the person who will substitute them is formally accepted.
Artículo 16. Composición y cargos.
Article 16. Composition and roles.
La Junta Directiva estará formada por cinco
miembros; de ellos, se designarán los cargos de Presidente/a, Vicepresidente/a
y de Secretario/a/Tesoro/a, siendo vocales el resto.
The Committee is formed of five members; with
designated roles of President, Vice-president and Secretary/Treasurer, with the
rest being spokespersons.
Todos los miembros serán designados y revocados por la Asamblea General.
El ejercicio del cargo será personal, sin que
pueda delegarse el voto en las sesiones de la Junta Directiva.
All
members are appointed and removed by the General Assembly. The exercise of the
position is personal. The vote in the meetings of the Committee cannot be
delegated.
Artículo
17.
Elección.
Article 17. Election.
Los miembros de la Junta Directiva
serán elegidos, entre los socios, en Asamblea General Extraordinaria, de
conformidad con lo dispuesto en el artículo 11 de los Estatutos.
The
members of the Committee shall be elected, among the membership, in an
Extraordinary General Assembly, as set out in article 11 of the Statutes.
Convocada Asamblea
General para la designación de la Junta Directiva, los socios que pretendan
ejercer su derecho a ser elegidos, tendrán que presentar su candidatura con una
antelación, como mínimo, de veinticuatro horas a la celebración de la Asamblea.
On
convocation of the General Assembly for the designation of the Committee,
members who want to exercise their right to be elected, must present their candidacy,
as a minimum, twenty four hours prior to the celebration of the Assembly.
Producida una
vacante, la Junta Directiva podrá designar a otra persona que forme parte de ésta para su
sustitución provisional, hasta que se produzca la elección definitiva por la
Asamblea General convocada al efecto.
Once a
vacancy has arisen, the Committee can designate another member of the committee
as a provisional substitute, until the final election is held by the General
Assembly convened for that purpose.
Artículo 18. Cese.
Article 18. Cessation
1. Los miembros de la
Junta Directiva cesarán en sus respectivos cargos por las siguientes causas: The members of the Committee cease their respective
positions for the following cuases:
a) Por muerte o declaración de
fallecimiento. Through death or declaration of death.
b) Por incapacidad,
inhabilitación o incompatibilidad, de acuerdo con lo establecido en el
ordenamiento jurídico. Incapacity,
disbarment or incompatibility as established in ordinary law.
c) Por resolución judicial. By
judicial order.
d) Por transcurso del periodo de su
mandato. No obstante, hasta tanto no se proceda por la Asamblea General la
elección de la nueva Junta Directiva, aquélla continuará en funciones,
debiéndose expresar dicho carácter en cuantos documentos hayan de firmar en
función de los respectivos cargos. When their mandate expires.
However, until such time as the Assembly General election elects a replacement,
they may continue in an acting capacity and must indicate this on any documents
that they sign as part of their respective roles.
e) Por renuncia
voluntaria, comunicada por escrito a la Junta Directiva. Through voluntary resignation, communicated in writing to
the Committee.
f) Por acuerdo adoptado con las
formalidades estatutarias, por la Asamblea General. Via an
agreement adopted with the formalities required by the statutes, by the General
Assembly.
g) Por la pérdida de la condición
de persona asociada. By losing the condition of member.
2. Los ceses y
nombramientos se comunicarán al Registro de Asociaciones, para su debida
constancia y publicidad. The
cessations and appointments shall be communicated to the Register of
Associations.
Artículo 19. La
Presidencia.
Article 19. Presidency
Corresponde a la persona que ostente
la Presidencia: Corresponds to the person holding
the Presidency:
a) Dirigir y representar legalmente
la Asociación, por delegación de la Asamblea General y de la Junta Directiva. Direct and
legally represent the Association, via the delegation of the General Assembly
and the Committee.
b)
Convocar, presidir y levantar las sesiones, tanto de la Asamblea General como
de la Junta Directiva; así como dirigir las deliberaciones de una y otra. Convoke, preside over and adjourn the
sessions, of the General Assembly and the Committee; as well as directing the
deliberations of both.
c)
Emitir un voto de calidad decisorio en los casos de empate. Issue the
deciding vote in cases of a tie.
d)
Ordenar pagos y autorizar con su firma los documentos, actas y correspondencia.
Organize payments and authorise with their signature documents, minutes
and correspondence.
e)
Ejecutar los acuerdos de la Junta Directiva y de la Asamblea General, pudiendo
para ello realizar toda clase de actos y contratos y firmar aquellos documentos
necesarios a tal fin; sin
perjuicio de que por cada órgano en el
ejercicio de sus competencias, al adoptar los acuerdos se faculte expresamente
para su ejecución a cualquier otro miembro de la Junta Directiva. Execute
the agreements of the Committee and the General Assembly, with the ability to
realise all sorts of actions and contracts and to sign whatever documents are
necessary to achieve this end; without prejudice to the fact that
responsibility for the execution of the agreements can be delegated to another
member of the Committee.
f)
Visar las actas y los certificados confeccionados por el secretario de la
Asociación. Endorse
the minutes and certificates made by the Secretary of the Association.
g)
adoptar cualquier medida urgente que la buena marcha de la Asociación aconseje
o en el desarrollo de sus actividades resulte necesaria o conveniente, sin
perjuicio de dar cuenta posteriormente a la Junta Directiva. Adopt
whatever urgent measure is required for the good functioning of the Association
or which becomes necessary or convenient, without prejudice to subsequently
reporting to the Committee.
h)
Ejercer cuantas otras funciones sean inherentes a su condición de Presidente de
la Junta Directiva y de la Asociación, así como las atribuciones restantes
propias del cargo y aquéllas para las cuales lo deleguen la Asamblea General o
la Junta Directiva. Exercise whatever other functions are inherent in the
position of President of the Committee and of the Association, as well as the
remaining powers appropriate for the position and those delegated by the
General Assembly or the Committee.
Artículo 20. La Vicepresidencia.
Article 20. The Vice Presidency
El Vicepresidente, si hubiese, sustituirá al
Presidente en ausencia de éste, motivada por enfermedad o cualquier otra causa,
y tendrá las mismas atribuciones que él. The Vice
President, if the role exists, shall substitute for the President in the case
of absence or infirmity or whatever other cause, and shall have the same powers
as him/her.
Artículo 21. La Secretaría.
Article 21. The Secretary
Corresponde a quien ostente la Secretaría las siguientes funciones:
The Secretary has the following
functions:
a) Asistir a las
sesiones de la Junta Directiva y Asamblea y redactar y autorizar sus actas. Attend the
meetings of the Committee and Assembly and record and authorise the minutes.
b) Efectuar la
convocatoria de las sesiones de la Junta Directiva y de la Asamblea. Carry out the convocation of the
meetings of the Committee and the Assembly.
c) Dar cuenta inmediata
a la Presidencia de la solicitud de convocatoria efectuada por los socios en la
forma prevista en el artículo 8º de los presentes Estatutos. Immediately
inform the President if the members convoke a meeting as set out in article 8
of these statutes.
d) Recibir y cursar
los actos de comunicación de los miembros de la Junta Directiva y de los socios así como las notificaciones,
peticiones de datos, rectificaciones, certificaciones o cualquiera otra clase
de escritos de los que deba tener conocimiento. Receive
and review communications from the Committee members and from the members as
well as notifications, requests for information, corrections, certifications or
any other type of communication.
e) Tramitar los
acuerdos sociales inscribibles a los Registros que correspondan. Process resolutions
that must be registered into the appropriate register.
f) Preparar el
despacho de los asuntos, así como la documentación que haya de ser utilizada o
tenida en cuenta. Prepare
and organize the affairs of the association, as well as the documentation to be
used or taken into account.
g) Expedir
certificaciones de los acuerdos aprobados y cualesquiera otras certificaciones,
con el visto bueno de la Presidencia, así como los informes que fueren
necesarios. Provide certificates of the agreements made and
whatever other certificates are required with the approval of the President, as
well as any necessary reports.
h) Tener bajo su
responsabilidad y custodia el archivo, documentos y libros de la Asociación, a
excepción del/los libros de contabilidad. Be
responsible for the custody and archiving of documents and the books of the
Association.
i) Cualesquiera
otras funciones inherentes a la Secretaría. Whatever
other functions are inherent in the role of Secretary.
En los casos de
ausencia o enfermedad y, en general, cuando concurra alguna causa justificada,
la persona titular de la Secretaría será sustituido por el vocal de menor edad.
In cases
of absence or infirmity, and, in general, when there is a justified reason, the
Secretary shall be substituted by a vocal.

c) Intervenir con su
firma todos los documentos de cobros y pagos, con el visto bueno conforme de la
Presidencia. Sign all documents relating to charges and payments
with the approval of the President.
d) La llevanza de
los libros de contabilidad y el cumplimiento de las obligaciones fiscales, en
plazo y forma, de la Asociación. Keep the associations accounts and
comply with the fiscal obligations of the Association correctly and on time.
e) La elaboración
del anteproyecto de Presupuestos para su aprobación por la Junta Directiva y
posterior sometimiento a la Asamblea General. En la misma forma se procederá
respecto Estado General de Cuentas para
su aprobación anual por la Asamblea. Prepare the draft Budget for
approval by the Committee and for its later submission to the General Assembly.
The same applies to the General
Statement of Accounts for annual approval by the Assembly.
f) Cualesquiera
otras inherentes a su condición titular de la Tesorería, como responsable de la
gestión económica financiera. Whatever other tasks inherent in the
role of Treasurer with responsibility for the management of finances.
Artículo 23. Vocales.

Los vocales tendrán las obligaciones
propias de su cargo como miembros de la Junta Directiva, así como las que la

1. Para la válida constitución de la
Junta Directiva, a efectos de la celebración de sesiones, deliberaciones y
adopción de acuerdos, deberán estar presentes la mitad de sus miembros
requiriéndose, necesariamente, la presencia del titular de la Presidencia y de
la Secretaría o de quienes les sustituyan. For the
valid constitution of a Committee Meeting, with regard to the celebration of
meetings, deliberations and the adoption of agreements, half of the committee
members must be present and must include the President and the Secretary or
those substituting for them.
2. La Junta
Directiva se reunirá, al menos, una vez al trimestre y cuantas veces como sea
preciso para la
buena marcha de la Asociación, previa convocatoria realizada por la
Presidencia, a iniciativa propia o de cuales quiera de sus miembros. The
Committee shall meet at least once a quarter and however many times necessary
for the good management of the Association. The meeting can be convened by the
President or by any of the Committee members.
3. La convocatoria
de sus reuniones se realizará con los requisitos formales (orden del día, lugar
y fecha...), y se hará llegar con una antelación mínima de 48 horas a su
celebración. The convocation of its meetings shall be carried out
in adherence with the formal requirements (agenda, place, date…) and shall be
issued with a minimum notice period of 48 hours.
4. Las
deliberaciones seguirán el mismo régimen señalado en el artículo 13 para la Asamblea
General. Los acuerdos se adoptarán por mayoría simple de los votos emitidos,
dirimiendo el voto la Presidencia, en caso de empate. The
deliberations of the Committee follow the same rules established in article 13
for the General Assembly. Agreements are adopted by a simple majority of the
votes cast, with the President having the casting vote in the case of a tie.
5. No podrá
adoptarse acuerdo alguno que no figure en el orden del día, salvo que, estando
presentes la totalidad de los miembros que componen la Junta Directiva, lo
acuerden por unanimidad. No
decision can be taken regarding an ítem that does not appear in the Agenda,
unless all the members of the Committee are present and they agreed unanimously
to its inclusion.
6. Igualmente quedará
válidamente constituida la Junta Directiva sin convocatoria previa, cuando
estando presentes todos sus miembros, así se acordare por unanimidad, estándose
a lo mencionado en el apartado anterior en cuanto a los acuerdos. Las Juntas
así constituidas recibirán la denominación de Junta Directiva Universal. Equally a
Committee meeting can be called without a prior convocation, when all members
are present and it is agreed unanimously, as mentioned in the previous section
regarding agreements. Meetings constituted in the manner shall be called a
Universal Committee Meeting.
7. A las sesiones de
la Junta Directiva podrán asistir, con voz y sin voto, aquellas personas
previamente citadas o invitadas por la Presidencia cuyas funciones serán
exclusivamente de asesoramiento. Meetings of the Committee can be
attended, with voice but without vote, by anybody previously invited by the
President to attend in an exclusively advisory capacity.

La Junta Directiva

Proyecto de Presupuesto para su aprobación definitiva por la Asamblea General. To approve the Budget for its definitive
approval by the General Assembly.
e) Aprobar el estado
de Cuentas elaborado por la Tesorería, para su aprobación definitiva, si
procediere, por la Asamblea General. To approve the Accounts
Statement prepared by the Treasurer, for its definitive approval, where
appropriate, by the General Assembly.
f) Elaborar la
Memoria anual de actividades para su informe a la Asamblea General. To elaborate the annual Memorandum of
activities for the General Assembly.
g) Crear Comisiones
de Trabajo que estime conveniente, para el desarrollo de las funciones
encomendadas y las actividades aprobadas, así como para cualesquiera otras
cuestiones derivadas del cumplimiento de los fines sociales. Dichas comisiones
regularán su funcionamiento interno en la forma que se acuerden por éstas en su
primera sesión constitutiva. To create Working Parties as required,
for the development of the mandated functions and approved activities, as well
as dealing with whatever other questions arise from the fulfilment of the social
objectives. These working parties regulate how they operate however they agree
it in their first meeting.
h) Resolver las
solicitudes relativas a la admisión de socios. To respond
to requests regarding the admission of members.

debida diligencia de un representante leal y cumplir en sus actuaciones con lo
determinado en las disposiciones legales vigentes y en los presentes Estatutos.

is the obligation of the members of the Committee to comply with and to ensure
compliance with the objectives of the Association, attend meetings to which
they are summoned, perform that role they are given with the due diligence of a
loyal representative of the association and act with the law and in compliance
with these Statutes.

Los miembros de la
Junta Directiva ejercerán su cargo gratuitamente, sin que en ningún caso puedan
recibir retribución por el desempeño de su función, sin perjuicio del derecho a
ser reembolsados en los gastos ocasionados en ejercicio de los cargos, siempre
que éstos se encuentren debida y formalmente justificados.

Committee members exercise their positions for free, in no circumstance
receiving payment for the performance of their roles, without prejudice to the
right to be reimbursed for any costs incurred in the execution of their duties,
provided that they are due and formally justified.

Artículo 29. Actas.

De cada sesión que celebren la Asamblea General y la Junta Directiva se
levantará acta por la persona titular de la Secretaria, que especificará
necesariamente el quórum alcanzado para la válida constitución, el
orden del día de la reunión, las circunstancias del
lugar y tiempo en que se han celebrado, los puntos principales de las
deliberaciones, así como el contenido de los acuerdos adoptados, en las actas
del órgano de representación figurarán, necesariamente, los asistentes. The
Secretary shall record the minutes of each General Assembly and Committee
Meeting which must specify the quorum reached for its valid constitution, the
agenda of the meeting, the place and time of celebration, principle points of
the deliberations, as well as the content of agreements reached and in the
minutes of the of the committee meetings, the names of the attendees.
2. A solicitud de
las personas asociadas en el acta figurará, en su caso, el voto contrario al
acuerdo adoptado, su abstención y los motivos que la justifiquen o el sentido
de su voto favorable. Asimismo, cualquier miembro tiene derecho a solicitar la
transcripción íntegra de su intervención o propuesta, siempre que aporte en el
acto o en el plazo de cuarenta y ocho horas el texto que se corresponda
fielmente con su intervención, haciéndose así constar en el acta o uniéndose
copia a ésta. At the request of a participant the minutes shall
record their vote against the agreement adopted, their abstention or their
positive vote with their justifying motives. Also, any member has the right to
request the inclusion of the full transcription of their intervention or
proposal, provided that they provide the transcript for inclusion or attachment
to the minutes within 48 hours.
3. Las actas se
aprobarán en la misma o en la siguiente sesión; no obstante lo anterior, la
persona titular de la secretaria podrá emitir certificaciones sobre los
acuerdos específicos que se hayan adoptado, haciendo constar expresamente que
el acta está pendiente de su ulterior aprobación. The
minutes shall be approved in the same or the following session; however the
Secretary may emit a certification regarding the agreements reached, making it
clear that the minutes are awaiting approval.
4. Las actas serán
firmadas por la persona titular de la secretaria y visadas por la presidencia;

reuniones de los órganos de gobierno y representación deberán reflejarse en el
correspondiente libro de actas. The minutes shall be signed by the
person with title of Secretary and countersigned by the President; all the
minutes of meetings of the governing and representative bodies shall be
recorded in the minute book.

Los acuerdos de la Asamblea General
y Junta Directiva podrán ser impugnados ante el orden jurisdiccional civil en
la forma legalmente establecida. The
agreements of the General Assembly and the Committee can be challenged before a
civil court in the form legally established.
Los asociados podrán
impugnar los acuerdos y actuaciones de la asociación que estimen contrarios a
los estatutos dentro del plazo de cuarenta días, a partir de la fecha de su
adopción, instando su rectificación o anulación y la suspensión preventiva en
su caso, o acumulando ambas pretensiones por los trámites establecidos en la Ley
de Enjuiciamiento Civil. The
members may challenge the agreements and actions of the association that they
deem to be contrary to the statues within a period of 40 days after the
adoption of the agreement, asking for the correction, annulment or preventative
suspension as required or accumulating both claims for the procedures
established in Civil Law.
En tanto se resuelven
las contiendas de orden interno que puedan suscitarse en la asociación, las
solicitudes de constancia registral que se formulen sobre las cuestiones
controvertidas sólo darán lugar a anotaciones provisionales. As long as the disputes regarding the internal order of the association
are resolved, the requests for the creation of a registered record of
controversial issues shall only give rises to provisional annotations on the
register.

SOCIOS
MEMBERS
Artículo 31. Clases.
Article 31. Categories
1. Dentro de la Asociación existirán las
siguientes clases de socios. The following categories
of members exist within the association:
a)
Socios fundadores,
que serán aquéllos que participen en el acto de constitución de la Asociación. Founding
members, who are those that participate in the founding meeting of the
Association.
b) Socios de número, que serán los que ingresen
después de la constitución de la Asociación.
Numbered members who join after the constitution of the Association.
c) Socios de honor, los que por su prestigio o por
haber contribuido de modo relevante a la dignificación y desarrollo de la
asociación, se hagan acreedores de tal distinción. El nombramiento de los
socios de honor corresponderá a la Asamblea General. Honorary
members, those who due to their importance or due to their contribution to the
dignity and development of the association are awarded this distinction. The
name of honorary members lies with the General Assembly.
2. La asociación dispondrá de una relación
actualizada de sus asociados. The
association shall have an updated list of its members.
Artículo 32. Adquisición
de la condición de persona asociada Becoming a
member:
Podrán pertenecer a la Asociación
aquellas personas con capacidad de obrar que tengan interés en el desarrollo de
los fines de la Asociación, y que la Junta Directiva considere que no tengan
intereses contrapuestos o incompatibles, y que la Junta Directiva considere
sean aptos de ser admitidos como miembros. Any person who has an interest in
carrying out the objectives of the Association, and that the Committee feels
does not have counterproductive or incompatible interests, and that the
Committee deems to be suitable to join as members, may join the Association.
Los
candidatos a miembros deberán presentar una solicitud por escrito a la Junta
Directiva, la cual decidirán sobre su admisión. La admisión o exclusión de un
candidato habrá de ser ratificada por la Asamblea General. Candidates
for membership may present a request to the Committee who will approve their
admission. The admission or exclusion of a candidate must be ratified by the
General Assembly.

33. Pérdida de la condición de persona asociada.

Son causas para ser
dado de baja de la Asociación. The causes
for removal from the Association:
a). La renuncia voluntaria de la persona interesada, que ha de
comunicar por escrito su decisión a la Junta Directiva. The voluntary resignation of the person
concerned, which is communicated in writing to the Committee.
b). No hacer efectivas cualesquiera de las cuotas o aportaciones
económicas. Non payment of quotas or economic
contributions.
c). No cumplir las obligaciones estatutarias o los acuerdos adoptados
por los órganos sociales. Non
compliance with the Statutes or agreements reached by the committee or
assembly.
En el supuesto de la letra a) del presente artículo, será suficiente
la presentación de renuncia escrita presentada ante la Secretaría de la
Asociación. Los efectos serán automáticos, desde la fecha de su presentación. With regard to point a) it is sufficient
that the written resignation is presented to the Secretary of the Association. The
effect is automatic, from the date of its presentation.
Para que opere la causa b), será necesaria la expedición por el
Tesorero de certificado de descubierto, con la firma conforme del Presidente.-
Los efectos serán desde su notificación al socio moroso, haciéndose constar,
necesariamente, la pérdida de la condición de socio. El socio podrá regularizar sus pagos ínterin
no haya sido notificado de la forma mencionada. In
circumstance b) the Treasurer must provide a statement of overdue payments to
the member with the signature of the President. Removal of the delinquent
member is effective from the time of notification of the overdue amount, which
must specifically state the membership is withdrawn. The member can regularize
their payments until such time as they receive this final notice.
Para la pérdida de la condición de socio por
la causa
establecida en el apartado c), será requisito indispensable el acuerdo motivado
de la Junta Directiva, adoptado por 2/3 del número de votos legalmente
emitidos. Todo asociado tendrá derecho a ser informado de los hechos que den
lugar a la expulsión y a ser oído con carácter previo a la adopción de dicho
acuerdo. In order to lose the condition
of member in the circumstances described in point c) the decision must be
adopted by the Committee with 2/3 of the votes legally cast. All members have
the right to be informed of the reasons for their expulsion and to be heard
prior to the adoption of the agreement.
Artículo 34. Derechos.

It is the right of numbered and founding members:
a) Participar en las Asambleas con voz y voto. To participate

c) Ser informados acerca de la composición de
los órganos de gobierno y representación de la asociación, de su estado de
cuentas y del desarrollo de su actividad. To be
informed about the composition of the management committees and representation
of the association, of the state of the accounts and the development of
activities.
d) Ser oídos con carácter previo a la adopción
de medidas disciplinarias contra ellos y ser informados de los hechos que den
lugar a tales medidas, debiendo ser motivado el acuerdo que, en su caso,
imponga la sanción. To be
heard in advance of the adoption of disciplinary proceedings against them and
to be informed of the actions that gave rise to such measures, being the motive
for the adoption of agreement that, where appropriate, imposes the sanction.
e) Acceder a la
documentación de la asociación, a través de la Junta Directiva. To access
the documentation of the association via the Committee.
f) Participar en las actividades de la
asociación y utilizar los bienes e instalaciones de uso común de la Asociación,
con respeto a igual derecho del resto de los socios. To
participate in the activities of the association and to have use of the assets
and facilities of the association that are in common use, with respect for the
equal rights of other members.
2. Los socios de honor tendrán los mismos
derechos que los fundadores y de número a excepción de los previstas en los
apartados a) y b). No obstante lo
anterior, podrán asistir a la Asambleas Generales con voz pero sin voto. Honorary
members have the same rights as founding and ordinary members with the
exception of those set out in parts a) and b). However they can attend General
Assemblies with voice but without vote.
Artículo 35. Obligaciones.

members:
a) Compartir las finalidades de la asociación y

aportaciones que, con arreglo a los Estatutos, puedan corresponder a cada
socio. To pay the fees, quotas and other amounts that, according to the
statues, apply to each member.
c) Cumplir el resto
de obligaciones que resulten de las disposiciones estatutarias. To comply with the
rest of the obligations set out in the Statutes.
d) Acatar y cumplir
los acuerdos válidamente adoptados por la Junta Directiva y la Asamblea
General. To act on and to comply with
the agreements that are validly adopted by the Committee and the General
Assembly.
Sin perjuicio de la
pérdida de la condición de persona asociada por impago de las cuotas sociales,
en tanto se procede a su expulsión, el socio o socia tendrá en suspenso el
derecho de sufragio activo y pasivo. Dicha suspensión del derecho se producirá
con el impago de una sola de las cuotas y mientras se proceda a su
regularización o a la pérdida definitiva de la condición de persona asociada. Without
prejudice to the eventual loss of membership for non-payment of quotas, a
non-paying member shall have their voting rights suspended. This suspension
shall take place with the non-payment of only one quota and up until such time
as the situation is resolved or the person permanently loses their
membership.

La Asociación deberá
figurar como titular de todos los bienes y derechos que integran su patrimonio,
los cuales se harán constar en su inventario y se inscribirán, en su caso, en
los Registros Públicos correspondientes. The Association must figure as the titleholder of all
assets and rights that form part of its equity, which must be recorded in its
inventory and, where appropriate, in the relevant Public Registers.

1. La Asociación, para el desarrollo
de sus actividades, se financiará con. The Association
shall be financed for the development of its activities with:
a) Los recursos que provengan del rendimiento de
su patrimonio, en su caso. The revenues that arise from the
performance of it assets, as appropriate.
b) Las cuotas de los socios, ordinarias o
extraordinarias. The ordinary and extraordinary quotas from its members,
c) Los donativos o subvenciones que pudieran ser
concedidas por personas físicas o jurídicas, públicas o privadas. The
donations or subventions that may be provided by public or private persons of a
physical or legal nature;
d) Donaciones, herencias o legados, aceptadas
por la Junta Directiva. Any
donations, inheritances or legacies, accepted by the Committee.
e) Los ingresos
provenientes de sus actividades. Income resulting
from their activities.
2. Los
beneficios obtenidos por la Asociación, derivados del ejercicio de actividades
económicas, incluidas las prestaciones de servicios, deberán destinarse
exclusivamente al cumplimiento de sus fines, sin que quepa en ningún caso su
reparto entre los asociados ni entre sus cónyuges o personas que convivan con
aquéllos con análoga relación de afectividad, ni entre sus parientes, ni su
cesión gratuita a personas físicas o jurídicas con interés lucrativo. The benefits obtained
by the Association, derived from the exercise of economic activities, including
the provision or services, shall be destined exclusively for the achievement of
its objectives, at no time permitting the disbursement of earnings among the
members, spouses or partners or similar equivalent relationship, nor among
family members, nor can it be transferred for free to physical or legal persons
for lucrative purposes.

39. Ejercicio económico, presupuesto

1. El
ejercicio económico coincidirá con el año natural; comenzará el 1 de enero y su
cierre tendrá lugar el 31 de diciembre de cada año. The financial year shall follow the natural year; commencing on the 1st
of January and ending on the 31st December each year.
2. Anualmente la Junta Directiva confeccionará
el Presupuesto y será aprobado en Asamblea General. Con la aprobación del
Presupuesto quedarán aprobadas las cuotas ordinarias para el ejercicio
correspondiente. Annually the Committee shall prepare a Budget and it
shall be approved by the General Assembly. With the approval of the Budget the
ordinary quotas for the following year will also be approved.
Para la aprobación
de cuotas extraordinarias, habrá de convocarse Asamblea General Extraordinaria,
salvo que la Asociación careciere de liquidez y la disposición y gasto
correspondiente fueren urgentes, en cuyo caso bastará la adopción del acuerdo
por la Junta Directiva, previo informe de la Tesorería y ulterior ratificación
en Asamblea General, que habrá de aprobarse en el plazo de treinta días siguientes
a la adopción del acuerdo por la Junta Directiva. For the
approval of extraordinary quotas, an Extraordinary General Assembly must be
called, except when the Association lacks liquidity and the corresponding
provision and expenses are urgent, in which case the approval of the Committee
is sufficient, based on a report from the Treasurer and later ratification by a
General Assembly, which must approve the measure within thirty days after the
adoption of its approval by the Committee.
3. La Asamblea General

permit the disclosure of a true picture of the assets, the results and the
financial situation of the entity.

La Asociación se disolverá por
las siguientes causas. The
Association can be dissolved for the following reasons:
a) Por acuerdo adoptado por mayoría cualificada
en Asamblea General Extraordinaria. By an agreement adopted by a
qualified majority in an Extraordinary General Assembly.
b) Por las causas que se determinan en el
artículo 39 del Código Civil. For he reasons set out in article 39 of
the Civil Code.
c) Por sentencia judicial firme. As a
result of a judicial sentence that cannot be appealed.
d) Por las causas que se determinen en los
presentes Estatutos. For the
reasons expressed in these Statutes.

41. Liquidación.

1. Acordada la disolución de la
Asociación, se abre el periodo de liquidación, hasta el fin del cual la entidad
conservará su personalidad jurídica. Once the
dissolution of the Association has been agreed, the liquidation period opens
and the entity retains its legal personality until this period ends.
2. Los miembros de la Junta Directiva en el
momento de la disolución se convierten en liquidadores, salvo que los designe
expresamente la Asamblea General o la persona titular del Juzgado que, en su
caso, acuerde la disolución. The Committee members become liquidators
at the moment of dissolution of the association, except when liquidators are
appointed expressly by the General Assembly or are appointed by the Court that,
where appropriate, agreed the dissolution.
Corresponde a los liquidadores. The
liquidators are required to:
a) Velar por la integridad del patrimonio de la
Asociación. To guard the financial integrity of the Association

Concluir las
operaciones pendientes y efectuar las nuevas que sean precisas para la

3. El remanente neto que
resulte de la liquidación se entregará directamente a una entidad pública o
privada sin ánimo de lucro con fines similares a los de la Asociación, que haya destacado en el ejercicio de sus actividades. The net
remaining that results from the liquidation shall be give directly to public or
private non-profit entities with similar aims to that of the Association, who
have distinguished themselves in the field of their activities.
4. En caso de
insolvencia de la Asociación, la Junta Directiva o, en su caso, los
liquidadores, han de promover inmediatamente el oportuno procedimiento
concursal ante el Juzgado competente. If the Association is
insolvent, the Committee, or, as appropriate, the liquidators must immediately
initiate the appropriate bankruptcy proceedings before the relevant Court.

RECORDS
Como garantía de la
efectividad de los derechos de los asociados y de las terceras personas que
establezcan relaciones con la asociación, ésta llevará una relación actualizada
de los asociados, con especificación de aquéllos que ejerzan en la Asociación
cargos de administración, gobierno o representación. To guarantee the rights
of members and third parties who establish a relationship with the association,
a membership list will be maintained, specifying those that exercise the
positions of administration, government or representation.
La relación de Asociados
expresará también las fechas de las altas y bajas y de las tomas de posesión y
ceses en los referidos cargos. The account of the Membership shall also record the
dates of joining and leaving and the dates of taking possession and cessation
of the specific positions.

Asimismo la Asociación llevará
un libro de actas, un libro de inventario de bienes y los libros de
contabilidad adecuados a la actividad que realiza. The Association shall
also keep a book of minutes, an inventory of assets and accounts suitable for
the activities carried out.

MINUTES
Los Libros de Actas
consignarán las reuniones de la Asamblea General y de las de los demás órganos
colegiados de la Asociación, con expresión de la fecha, asistentes a las
mismas, asuntos tratados o acuerdos adoptados. Las actas serán suscritas por el
secretario con el Visto Bueno del Presidente. The Minutes books record
the meetings of the General Assembly and other organs of the Association, with
details of the date, the attendees, and matters dealt with and agreements
reached. The minutes shall be signed by the Secretary and countersigned by the
President.

45º. LIBROS DE CONTABILIDAD

En los Libros de Contabilidad
figurarán todos los ingresos y gastos de la Asociación, precisándose la
procedencia de aquéllos y la inversión de éstos. The Accounts contain all
the income and expenditure of the Association, specifying the origin of same
and how it was spent.

En todo cuanto no esté previsto en los presentes Estatutos se
aplicará la Ley Orgánica 1/2002, de 22 de marzo, reguladora del Derecho de
Asociación, la Ley 4/2006, de 23 de junio, de Asociaciones de Andalucía, y demás
disposiciones complementarias If something is not
foreseen in the present Statutes , Law
1/2002, of 22nd March, regulating the Rights of Associations, the Law 4/2006,
23rd June, of Associations in Andalusia and other complementary provisions will
apply.
